Prime MSP, LLC (Prime MSP) provides a variety of hosting services, including web hosting, mail hosting, database services, Disaster Recovery, ISP, Facilities Management, DNS and URL forwarding.
Since these services use resources that are shared by many users, the benefits of using the service must be balanced with certain obligations and responsibilities to ensure that all users can have a productive experience.

By using these services, you agree to be bound by the terms and conditions; you agree to indemnify and hold harmless Prime MSP from any loss, liability, claim, damage and expense arising from or related to your content or use of any services provided by Prime MSP. You agree to pay all legal expenses related to any action resulting from Prime MSP services.  If you are not satisfied with these terms and conditions then you must discontinue use of our hosting services.

Prime MSP may revise these terms and conditions from time to time by posting a new version of this document on our website (http://www.primemsp.com). Any new version of these terms will be effective within 14 days of posting unless Prime MSP considers (in its sole discretion) that a period shorter than 14 days is necessary to protect the integrity, security or smooth operation of Prime MSP services. As such, users should consult this document on a regular basis to ensure that they are familiar with the most recent version.

You accept legal responsibility for use of the account, are at least 18 years of age or (if younger) have your parent's or legal guardian's permission before using our services. By agreeing to these terms and conditions on behalf of a company you are doing so as an authorized representative of that company and herewith accept all responsibilities associated as an authorized representative.

The hosting services must not be used for unlawful purposes. Any use of these services which violates any local, state, federal or international laws applicable to Prime MSP your jurisdiction, or any jurisdiction that your site is subject to is strictly prohibited.

You agree that use of our services is at your own risk. The services are provided by Prime MSP on an "AS IS" and "AS AVAILABLE" basis. Prime MSP expressly disclaims all warranties of any kind, whether express or implied, including but not limited to the implied warranties of merchantability, fitness for a particular purpose and non-infringement.

No advice or information, whether oral or written, obtained by you from Prime MSP, its employees or associates or through their respective websites shall create any warranty not expressly stated in these terms and conditions.

Prime MSP does not tolerate SPAM. If you create SPAM, unsolicited emails or message board posting, or any other similar method to promote your site, then your access to our services will be immediately terminated.

Prime MSP reserves the right to take action, including legal or suspension of or termination of a service, against a customer who interferes with the rights of another user online, or attempts to interfere with the smooth running of the internet or Prime MSP' services. We reserve the right to discontinue, without refund or notice, any account or service where usage of the account or service is deemed to be an abuse, and we will charge the customer for costs incurred by any such abuse.

You are responsible for any misuse of our services, even for example, if the misuse was committed by a friend, family member, guest, employee or customer with access to your account, system, server(s) or website(s). You are also responsible for any such misuse regardless of whether it was with or without your knowledge or consent. Therefore, you must take steps to ensure that others do not gain unauthorized access to your account(s), system(s), server(s) or website(s).

Prime MSP reserves the right to refuse or discontinue service to anyone at our sole discretion without notice. Your access to all or part of our services may be denied without notice if Prime MSP believes, interprets or suspects any of the terms and conditions have been violated.

Prime MSP will automatically rebill a customer's credit card, where credit card details have been provided unless otherwise agreed.

You understand that you must maintain your own copy of any content published via a Prime MSP service and that Prime MSP should never be used as any "master" or primary or critical copy of any content.

You understand that no intellectual property rights are assigned to you in the use of a service provided by Prime MSP unless otherwise specifically contracted in physical written form.

Likewise none of your intellectual property rights are assigned to Prime MSP via the use of a service provided by Prime MSP unless otherwise specifically contracted.

Any and All domain names in PRIME's  care, custody and\or control will not be released to client unless all pending invoices are paid in full with no exceptions.
